1. Acceptance of Terms

By accessing, browsing, or using the WeatherRadar AI platform and website at weatherradar.ai (the "Service"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to all of these Terms, you are not authorized to access or use the Service. Your continued use of the Service following any posted modification to these Terms constitutes your acceptance of those modifications.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and WeatherRadar AI ("Company," "we," "us," or "our"). We reserve the right to update or modify these Terms at any time in accordance with Section 15 below.

2. Description of Service

WeatherRadar AI is a software-as-a-service (SaaS) platform that provides AI-powered analytics, ensemble model aggregation, and fair value (FV) estimation tools designed to assist users in analyzing weather-based prediction markets, including markets offered on Kalshi (CFTC-regulated) and similar platforms.

Our Service aggregates publicly available meteorological data from sources including NOAA, NWS, GEFS, HRRR, GFS, NAM, ECMWF, and others, and applies proprietary statistical models to generate probability estimates and FV calculations. These outputs are for informational and analytical purposes only.

We do not execute trades on your behalf unless you are an Elite plan subscriber who has explicitly connected your own Kalshi API credentials and enabled the autonomous trading feature in your account settings. See Section 11 for full details on autonomous trading.

3. Eligibility

To access or use the Service, you must meet all of the following requirements:

• Age: You must be at least 18 years of age. By creating an account, you represent and warrant that you are 18 years of age or older.
• Kalshi Eligibility: If you intend to connect a Kalshi account or use our Service in connection with Kalshi markets, you must independently qualify to use Kalshi under Kalshi's own terms of service and applicable law. Eligibility to use Kalshi is determined solely by Kalshi and is subject to CFTC regulations.
• Legal Compliance: You must be legally permitted to access and use prediction market analytics tools in your jurisdiction. The Service is not available in jurisdictions where such access is prohibited by applicable law.
• Legal Capacity: You must have full legal capacity to enter into a binding contract. If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We reserve the right to refuse Service to any person or entity at our sole discretion and to terminate accounts that do not meet these eligibility requirements.

4. User Accounts

To access most features of the Service, you must register for an account. When creating and maintaining your account, you agree to the following:

• Accurate Information: You will provide truthful, accurate, current, and complete information during registration and keep your account information updated at all times.
• Account Security: You are solely responsible for maintaining the confidentiality of your login credentials, including your password. You agree to use a strong, unique password and not to share your credentials with any third party.
• Unauthorized Access: You agree to notify us immediately at [email protected] if you suspect or become aware of any unauthorized access to or use of your account.
• Responsibility for Activity: You accept full responsibility for all activities that occur under your account, whether or not authorized by you, to the extent permitted by applicable law.
• One Account Per Person: You may maintain only one account per individual. Creating multiple accounts to circumvent subscription limits, suspensions, or other restrictions is prohibited.
• No Account Sharing: Your account is personal and non-transferable. You may not sell, transfer, or assign your account to any third party.

We reserve the right to suspend or permanently terminate your account if we have reason to believe that any information you provided is inaccurate or that you have violated these Terms.

5. Subscription Plans and Billing

The Service is offered under three subscription tiers, each providing different levels of access:

Paid subscriptions (Pro and Elite) are billed on a recurring monthly or annual basis, as selected at checkout. By providing your payment information, you authorize WeatherRadar AI and our payment processor, Stripe, to charge your designated payment method for the applicable fees on a recurring basis until your subscription is cancelled.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You will be charged the then-current subscription fee at the start of each new billing period.

Cancellation: You may cancel your subscription at any time through your account portal under Account > Subscription, or by contacting us at [email protected]. Upon cancellation, you will retain access to paid features until the end of your current paid billing period. We do not provide pro-rated refunds for any unused portion of a subscription period, except where required by applicable law.

Price Changes: We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase to active subscribers via email. If you do not cancel your subscription before the price change takes effect, your continued use of the Service will constitute acceptance of the new pricing.

Failed Payments: If a recurring payment fails, we will attempt to retry the charge. If payment is not successfully processed within a reasonable period, your account may be downgraded to the Free tier until payment is resolved.

All fees are stated in U.S. dollars and are exclusive of any applicable taxes. You are responsible for any taxes, levies, or duties imposed by your jurisdiction.

6. Free Trial

WeatherRadar AI may offer a 14-day free trial period for the Pro and Elite subscription plans (the "Trial Period"). The following terms apply to free trials:

• Credit Card Required: A valid credit card or accepted payment method is required to start a free trial. Your payment method will not be charged during the Trial Period.
• Automatic Conversion: At the end of the Trial Period, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable monthly or annual fee, unless you cancel before the Trial Period ends.
• Cancellation During Trial: You may cancel at any time during the Trial Period at no charge by visiting your account portal or contacting us. If you cancel during the Trial Period, your access to the paid tier features will end at the conclusion of the Trial Period.
• One Trial Per Person: Free trials are available once per person and are not transferable. Creating multiple accounts to obtain additional free trials is a violation of these Terms and may result in account termination.
• Trial Availability: We reserve the right to modify, suspend, or discontinue free trial offers at any time without notice.

7. Prohibited Uses

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

• Reverse Engineering: Attempting to reverse-engineer, decompile, disassemble, or otherwise derive the source code, underlying algorithms, FV calculation methodology, or proprietary forecasting models used by WeatherRadar AI.
• Unauthorized Scraping: Using bots, crawlers, scrapers, or any automated means to extract, harvest, or collect data from the Service beyond your authorized API rate limits, or in any manner not expressly permitted by these Terms.
• Credential Sharing: Sharing your account credentials with others, or allowing third parties to access the Service through your account. Each user must have their own individual account.
• Unauthorized Redistribution: Reselling, sublicensing, or commercially redistributing Service outputs, FV estimates, or forecasts to third parties without our prior written consent.
• Illegal Activity: Using the Service in connection with any unlawful purpose, including but not limited to market manipulation, fraud, money laundering, or any activity that violates CFTC regulations or other applicable laws.
• Identity Misrepresentation: Impersonating any person or entity, or falsely claiming affiliation with any person, company, or organization.
• Service Interference: Taking any action that imposes an unreasonable or disproportionate load on the Service's infrastructure, or that interferes with the proper functioning of the Service or other users' access to it.
• Security Circumvention: Attempting to probe, scan, or test the vulnerability of the Service, or to bypass any security or authentication mechanisms.
• Harmful Content: Transmitting or uploading any malware, viruses, Trojan horses, worms, or other malicious or harmful code.

Violation of any of these prohibited uses may result in immediate account termination and may expose you to civil or criminal liability.

8. Intellectual Property

Our Property: The Service and all of its contents, features, and functionality — including but not limited to software, algorithms, proprietary forecasting models, FV calculation methodologies, interfaces, graphics, logos, icons, trade names, and all other content created by WeatherRadar AI — are owned by the Company and are protected by U.S. and international copyright, trademark, trade secret, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial purposes, in accordance with these Terms. This license does not include any rights to: (a) reproduce, modify, distribute, or create derivative works of any Service content; (b) use the Service for commercial purposes without our express written authorization; or (c) remove any proprietary notices or labels from the Service.

Your Data: You retain ownership of all personal data, trade history, preferences, and other content you submit to the Service ("User Data"). By submitting User Data, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Data solely as necessary to provide the Service to you and as described in our Privacy Policy. We do not claim ownership of your User Data.

Third-Party Data: Underlying meteorological data is sourced from public agencies (NOAA, NWS, ECMWF) and licensed third-party data providers. Such data remains subject to the original providers' terms and licenses. We do not warrant that our use of such data will be uninterrupted or error-free.

Feedback: If you submit feedback, suggestions, or ideas about the Service, you grant us an irrevocable, perpetual, royalty-free license to use and incorporate such feedback into the Service without any obligation to you.

9. Third-Party Integrations

The Service integrates with or relies on the following third-party platforms and services:

• Kalshi: WeatherRadar AI provides analytics and FV estimates for markets listed on Kalshi, a CFTC-regulated prediction market exchange. Kalshi is an independent platform governed by its own terms of service and user agreements. You must independently agree to and comply with Kalshi's terms to access their platform. WeatherRadar AI is not affiliated with, endorsed by, or a partner of Kalshi except as disclosed.
• Stripe: Payment processing for paid subscriptions is handled by Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's terms of service and privacy policy. We do not store your full payment card information.
• Weather Data Providers: We source meteorological data from various public and commercial data providers. The accuracy, timeliness, and availability of this data is subject to those providers' systems and is outside our control.

WeatherRadar AI is not responsible for the availability, accuracy, reliability, or content of any third-party platform or service. We do not control and are not liable for any changes to, outages of, or disruptions to third-party services that may affect the functionality of our Service.

Any links on our platform to third-party websites are provided for your convenience only. We do not endorse any linked sites and are not responsible for their content or practices.

CFTC Compliance Notice: Kalshi's weather prediction markets are regulated by the U.S. Commodity Futures Trading Commission (CFTC). As a Kalshi user, you are subject to CFTC regulations and Kalshi's own compliance obligations. WeatherRadar AI does not provide compliance, legal, or regulatory advice. You are solely responsible for ensuring your trading activities comply with all applicable laws and regulations.

10. Risk Disclosure

Weather forecasting is inherently uncertain. Meteorological model outputs can diverge significantly from actual outcomes due to chaotic atmospheric dynamics, limited observational data, and model error. Our FV estimates reflect the output of statistical aggregation processes and should not be treated as precise predictions of market outcomes.

You are solely responsible for your own trading decisions. WeatherRadar AI does not recommend specific trades or positions and expressly disclaims any liability for losses resulting from your use of our analytical outputs.

11. Autonomous Trading (Elite Plan)

Elite plan subscribers may optionally enable the autonomous trading feature, which allows WeatherRadar AI to execute prediction market trades on your behalf using your connected Kalshi API credentials. This feature is disabled by default and must be explicitly activated in your account settings.

By enabling autonomous trading, you acknowledge and agree to the following:

• Authorization: You expressly authorize WeatherRadar AI to access your Kalshi account via your API credentials and to place, modify, or cancel orders on your behalf according to parameters you configure in your account settings.
• Your Full Responsibility: You accept sole and full responsibility for all trades executed by the autonomous trading feature, including all resulting profits, losses, fees, and tax obligations. WeatherRadar AI shall not be liable for any financial outcome of autonomous trades.
• No Guarantee of Performance: Autonomous trading uses our algorithmic models, which are subject to the risks described in Section 10. Enabling autonomous trading does not guarantee profitable outcomes.
• Immediate Disable Right: You may disable autonomous trading at any time from your account settings (Account > Integrations > Autonomous Trading). Disabling the feature will prevent further automated orders but will not cancel or reverse any trades already executed.
• API Credential Security: Your Kalshi API credentials are stored encrypted using AES-256-GCM encryption. You are responsible for managing the permissions and scope of the API credentials you provide. We recommend using API credentials with the minimum permissions necessary for trading.
• Kalshi Terms: Use of autonomous trading must comply with Kalshi's terms of service, including any restrictions on automated or algorithmic trading. You are solely responsible for ensuring your use of this feature complies with Kalshi's terms.

WeatherRadar AI reserves the right to suspend or disable autonomous trading functionality at any time, including in response to changes in applicable law, regulatory guidance, or Kalshi's terms of service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WEATHERRADAR AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS; (C) ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR CURRENTNESS OF ANY FORECAST, FV ESTIMATE, DATA, OR OTHER CONTENT PROVIDED THROUGH THE SERVICE; AND (D) ANY WARRANTY THAT DEFECTS IN THE SERVICE WILL BE CORRECTED.

Meteorological data is subject to delays, gaps, revisions, and inaccuracies arising from the nature of real-time data collection from public and commercial sources. Our forecasts and FV estimates are probabilistic outputs generated by computational models and do not constitute guarantees of any future outcome. We make no representation that the Service will meet your requirements or expectations.

Some jurisdictions do not allow the exclusion of implied warranties. If you are in such a jurisdiction, some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEATHERRADAR AI, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: (A) LOSS OF PROFITS OR REVENUE; (B) TRADING LOSSES OR INVESTMENT LOSSES; (C) LOSS OF DATA OR INFORMATION; (D) BUSINESS INTERRUPTION; (E) LOSS OF GOODWILL; OR (F) ANY OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WEATHERRADAR AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WEATHERRADAR AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO WEATHERRADAR AI IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE. IF YOU HAVE NOT PAID ANY FEES (E.G., YOU ARE ON THE FREE PLAN), WEATHERRADAR AI'S TOTAL LIABILITY SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50.00).

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. If you are in such a jurisdiction, some of the above limitations may not apply to you.

14. Governing Law and Disputes

Governing Law: These Terms and any dispute arising from or related to your use of the Service shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles.

Binding Arbitration: EXCEPT AS PROVIDED BELOW, ALL DISPUTES, CONTROVERSIES, OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES (OR COMMERCIAL ARBITRATION RULES WHERE APPLICABLE). ARBITRATION SHALL BE CONDUCTED IN CLARK COUNTY, NEVADA, OR, AT YOUR ELECTION, VIA VIDEO CONFERENCE. THE ARBITRATOR SHALL HAVE AUTHORITY TO AWARD ANY RELIEF THAT WOULD BE AVAILABLE IN A COURT OF COMPETENT JURISDICTION.

Class Action Waiver: YOU AND WEATHERRADAR AI EACH AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY SHALL BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR MULTI-PLAINTIFF ACTION AGAINST THE OTHER. YOU WAIVE ANY RIGHT TO HAVE ANY DISPUTE HEARD OR RESOLVED AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER PROCEEDING IN WHICH ANY PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

Exceptions: Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Additionally, claims that are within the jurisdiction of a small claims court may be brought in that court.

Opt-Out: You may opt out of the arbitration agreement within 30 days of first accepting these Terms by sending written notice to [email protected] with the subject line "Arbitration Opt-Out." If you opt out, disputes will be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction in those courts.

Severability: If any provision of these Terms is found by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.

15. Changes to Terms and Contact

Changes: We reserve the right to modify these Terms of Service at any time. When we make material changes, we will notify registered users via email at least 30 days before the changes take effect, and we will update the "Last Updated" date at the top of this page. Non-material changes (such as clarifications, typographical corrections, or changes required by law) may be effective immediately upon posting.

Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and, if applicable, cancel your subscription before the changes take effect.

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and WeatherRadar AI with respect to your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by a duly authorized representative of WeatherRadar AI.
